PURSUUT TERMS AND CONDITIONS

These Terms and Conditions (the “Terms”) govern your access to and use of the PURSUUT service, website(s), and related applications (collectively, the “Service”), operated by Pursuut Technologies, Inc. (“PURSUUT,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Introduction & Acceptance
The Service can be accessed at and may be used on computers and mobile devices. By creating an account, accessing, or using the Service, you accept these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you’re authorized to accept these Terms on its behalf.
2. Privacy Policy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and disclose information. By using the Service, you consent to the Privacy Policy.
3. What PURSUUT Is (and Isn’t)
The Service is a technology platform that enables users to discover, communicate with, and retain independent, third-party licensed private investigators (“PIs”). PURSUUT is not a private investigation agency and does not itself provide private investigation services. Any PI services are provided by the PI in the PI’s independent capacity under a separate agreement between you and the PI. PURSUUT is not a party to, and does not supervise, control, or guarantee, PI services.
PURSUUT may conduct limited onboarding checks (e.g., license status at onboarding), but we do not guarantee licensing, insurance, suitability, quality, legality, or availability of any PI, and we have no obligation to re-verify after onboarding. You are solely responsible for selecting a PI and determining whether a PI meets your needs.
You may not use the Service to request, direct, or encourage any unlawful activity, including unlawful surveillance, unlawful pretexting, or obtaining records without lawful authority.
4. Eligibility
You must be 18+, located in the United States, and legally capable of entering into a binding contract to use the Service. The Service is intended for use in the United States.
5. Accounts & Security
You’re responsible for safeguarding your account credentials and for all activity under your account. Notify information@pursuut.com of any suspected unauthorized use. We may suspend or terminate accounts for suspected violations of these Terms or applicable law
.6. User Information & Content
When you register with PURSUUT and engage a PI, you may provide information and materials (“User Information”), including: (a) account/registration details, (b) information shared with PURSUUT support, and (c) information you provide to a PI to begin or perform an investigation.
Your responsibility. You’re solely responsible for the accuracy, legality, and content of your User Information. We host and transmit User Information at your direction and may remove or disable access at our discretion.
To clarify rights and uses, User Information is grouped as follows:
(a) Client Materials. “Client Materials” means information you provide for the purpose of requesting or receiving PI services (e.g., case details, documents, media, contact information). You grant PURSUUT a limited, non-exclusive, revocable, non-transferable license (with the right to sublicense to service providers and your selected PI(s)) to host, use, process, transmit, and disclose Client Materials solely to operate, protect, and provide the Service, including fraud prevention, support, and legal compliance. We will not use Client Materials for advertising or marketing without your express consent.
(b) User Content (public-facing). For content you choose to make public through the Service (e.g., reviews, profile content), you grant PURSUUT a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (for formatting/display), publish, and display such content on and in connection with the Service. This license lasts until you remove the content from the Service, subject to reasonable archival/back-up copies and legal retention requirements.
(c) Feedback. If you submit ideas, suggestions, or feedback, you grant PURSUUT a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback for any purpose without obligation to you.
Ownership. Except for the licenses above, you retain all rights in your User Information.
Privacy. Our use of User Information is governed by the Privacy Policy.Your representations. You represent and warrant that: (i) you own or have obtained all rights, consents, and permissions necessary to provide the User Information and grant the licenses above; and (ii) the User Information, your submission of it, and PURSUUT’s permitted use will not infringe, misappropriate, or violate any third-party rights or any law.
Removal & retention. You may delete certain User Information via the Service; PURSUUT may remove information at any time at its discretion. Deleted items may persist in backups or where retention is required by law, for audit, or to enforce these Terms.
7. Prohibited Uses (Use Restrictions)
You agree not to, and not to authorize or encourage any third party to:
(a) use the Service for any unlawful purpose, including harassment, stalking, discrimination, invasion of privacy, or defamation;
(b) request or direct any PI to engage in illegal surveillance, unlawful pretexting, deceptive practices, or to obtain records without lawful authority;
(c) violate any applicable law, professional rule, or PI licensing requirement;
(d) impersonate any person or entity, misrepresent your identity, or provide false information;
(e) attempt to gain unauthorized access to the Service or related systems;
(f) interfere with, disrupt, or burden the Service (e.g., malware, denial of service);
(g) copy, crawl, scrape, index, or reverse engineer the Service;
(h) infringe or violate others’ intellectual property, privacy, or publicity rights;
(i) circumvent the Service’s payments to transact off-platform to avoid fees (“non-circumvention”);
(j) use the Service for decisions/purposes requiring consumer reports under the Fair Credit Reporting Act unless you have lawful authority independent of the Service.
8. Payments; Payouts; Taxes; Non-Circumvention
Payment Processor & Authorization. Payments are processed by our third-party payment processor (the “Payment Processor”). By submitting a payment method, you authorize charges for PI services, platform fees (if any), taxes, and any applicable adjustments.
Limited Payment Collection Agent. You acknowledge that PURSUUT acts as the PI’s limited payment collection agent. Your payment to PURSUUT is deemed payment to the PI, and PURSUUT will remit amounts due to the PI less applicable fees.Payouts to PIs. PURSUUT will disburse amounts owed to PIs to the PI’s designated account, less applicable fees, adjustments, chargebacks, refunds, and reserves. We may place a reserve, delay, or reverse payouts where fraud, risk, or disputes are suspected.
Chargebacks & Negative Balances. Users are responsible for chargebacks and related bank/processor fees on their transactions. If a chargeback, refund, or adjustment occurs after a PI payout, the PI authorizes PURSUUT to offset or debit future payouts or the PI’s payment method to cover the negative balance.
Taxes. PIs are solely responsible for all taxes, fees, and required filings arising from amounts they receive (including issuance of any required tax forms). PURSUUT does not provide tax, legal, or accounting advice.
Non-Circumvention. Users and PIs agree not to circumvent the Service by paying or receiving payment off-platform for services first arranged through the Service for 12 months after initial contact, unless PURSUUT expressly consents in writing.
9. Refunds & Cancellations
Refunds are governed by the PI’s refund and cancellation policy, which is disclosed before payment is confirmed. PURSUUT is not the seller of PI services and does not control PI policies; however, PURSUUT may, in its discretion, facilitate refunds through the Payment Processor as a limited payment collection agent. Disputes about PI services are between the User and the PI, though PURSUUT may assist in resolution. Any PURSUUT platform fees (if charged) may be non-refundable unless required by law.
10. Ratings & Reviews
Users may post ratings/reviews. Reviews must be truthful and lawful and may be moderated or removed at PURSUUT’s discretion. PIs acknowledge that reviews are opinions of Users and not verified by PURSUUT.
11. Additional Terms for PI Users (Private Investigators)
This Section applies only to PIs.
11.1 Independent Contractor Status. You are an independent contractor, not an employee, agent, joint venturer, or partner of PURSUUT. You have no authority to bind PURSUUT. You’re solely responsible for methods, equipment, tools, expenses, and personnel used to provide PI services, subject to compliance with law and any agreement with the User.
11.2 Licensing; Compliance. You represent and warrant that you: (a) hold, and will maintain throughout your use of the Service, all licenses, registrations, bonds, and permits required to perform private investigation services in each jurisdiction where you operate; (b) will comply with all applicable laws, regulations, and professional rules (including surveillance, recording, privacy, data protection, unfair/deceptive practices, and consumer protection laws); and (c) will promptly notify PURSUUT of any suspension, lapse, or restriction of required licensure, or any criminal charge/conviction that could impact eligibility.
11.3 Insurance (Recommended; Legal Compliance Required). PURSUUT recommends that PIs maintain appropriate insurance coverage during use of the Service, including Professional Liability (Errors & Omissions) coverage (e.g., $1,000,000 per claim / $2,000,000 aggregate) and any other coverage appropriate to the PI’s operations. At a minimum, you must maintain any insurance required by applicable law or regulation (e.g., general liability, auto if applicable) in each jurisdiction where you operate. Upon request, you will provide evidence of required coverage.
11.4 Work Product; IP. Unless you and the User agree otherwise in writing, you grant the User a non-exclusive, royalty-free license to use your delivered reports, photographs, videos, and other case deliverables (“Work Product”) for the User’s personal or internal business purposes. You retain ownership of your pre-existing materials, methods, and know-how. Nothing in these Terms transfers ownership of your background IP to PURSUUT or the User.
11.5 Confidentiality & Data Handling. You will maintain the confidentiality of Client Materials and any non-public information obtained through the Service; limit access to those with a need to know; use reasonable administrative, technical, and physical safeguards; and comply with applicable data-security and breach-notification laws. You will delete or return Client Materials upon the User’s request or at the conclusion of services, subject to lawful retention needs.
11.6 Records; Cooperation. You will maintain lawful and accurate records of your services and provide reasonable cooperation to PURSUUT in addressing User complaints, disputes, risk reviews, or legal requests.
11.7 No Unlawful Activity. You will not use the Service to solicit or perform unlawful tasks, including unlawful pretexting or obtaining non-public records without lawful authority. PURSUUT may suspend or terminate your account immediately for suspected unlawful activity.
11.8 Non-Circumvention & Non-Solicitation. You will not solicit or accept off-platform payment from a User you first met through the Service for 12 months after initial contact, without PURSUUT’s written consent. If PURSUUT discovers circumvention, you agree that PURSUUT may (i) assess a reasonable referral/service fee on the off-platform transaction(s), and/or (ii) suspend or terminate your account.
11.9 Payouts; Setoff; Reserves. You authorize PURSUUT and the Payment Processor to collect amounts due to you from Users, to net PURSUUT fees, to set off chargebacks, refunds, adjustments, or other amounts you owe, and to establish reserves where risk is identified.
11.10 Taxes; Forms. You’re solely responsible for determining your tax obligations and remitting taxes. You will provide accurate tax information (e.g., W-9/W-8) and consent to the issuance of any required tax forms.
11.11 Marketing & Use of Marks. You may describe yourself as “Available on PURSUUT” but may not use PURSUUT’s logos, trademarks, or trade dress without written permission and must not imply endorsement by PURSUUT.
11.12 Removal. PURSUUT may remove or suspend a PI account at any time (e.g., risk, legal, compliance, poor performance, complaints) with or without notice.
12. Electronic Communications & E-SIGN Consent
By creating an account, you consent to receive communications from PURSUUT electronically (email, in-app, push). Such communications satisfy any legal requirement that they be in writing. You may opt out of certain marketing emails via unsubscribe or information@pursuut.com; you may still receive transactional communications. You may withdraw E-SIGN consent by closing your account, which may limit your ability to use the Service.
13. License to Use the Service
Subject to these Terms, PURSUUT grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and use the Service on your personal device and to access content made available through the Service solely for your personal, noncommercial use. Any rights not expressly granted are reserved.
14. Intellectual Property; Ownership
The Service (including software, content, logos, trademarks, and service marks) is owned by PURSUUT or its licensors and protected by law. These Terms do not grant you any rights in or to the Service except for the limited license in Section 13. You may not use or reference PURSUUT’s or its licensors’ names, logos, product and service names, trademarks, or service marks without prior written permission.
15. Third-Party Services
The Service may contain links to or integrations with third-party services (including the Payment Processor). PURSUUT is not responsible for third-party services and does not endorse or control them. Your use of third-party services is at your own risk and may be governed by separate terms and privacy policies.
16. No Legal Advice; No Attorney-Client Relationship
The Service and any PI interactions are not legal advice. PURSUUT is not a law firm, and communications through the Service are not protected by attorney-client privilege. If you require legal advice, consult a licensed attorney.
17. Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PURSUUT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
18. Limitation of Liability; ReleaseTO THE MAXIMUM EXTENT PERMITTED BY LAW, PURSUUT’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL PURSUUT PLATFORM FEES YOU PAID (EXCLUDING AMOUNTS PAID TO PIs) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL PURSUUT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Release. You release PURSUUT from claims, demands, and damages of every kind arising out of or related to disputes between Users and PIs or other users, except to the extent caused by PURSUUT’s willful misconduct or fraud. Some jurisdictions do not allow certain limitations; in such cases, the foregoing applies to the fullest extent permitted.
19. Indemnification
You agree to indemnify and hold harmless PURSUUT and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Information; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) your interactions or agreements between Users and PIs. PIs specifically agree to indemnify PURSUUT for claims arising from PI services, including alleged unlawful investigative conduct.
20. Dispute Resolution; Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there.(If you prefer arbitration and a class-action waiver, I can switch this section to binding arbitration with a small-claims carve-out and a 30-day opt-out.)
21. Termination & Suspension
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violations of these Terms or law. You may stop using the Service at any time. Sections intended to survive (including 6–11, 12–20, 22–25) will survive termination.
22. Assignment
You may not assign or transfer these Terms, or your rights or obligations hereunder, without our prior written consent. PURSUUT may assign these Terms without restriction.
23. California Users – Consumer Rights Notice
Under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Sacramento, CA 95834, or (800) 952-5210.
24. App Store Terms (if using mobile apps)
If you download our app from the Apple App Store or Google Play: (a) these Terms are between you and PURSUUT (not Apple/Google); (b) Apple/Google are third-party beneficiaries; (c) your use must comply with the applicable store’s terms; and (d) Apple/Google have no warranty or support obligations for the app beyond what is required by law.
25. General Terms
Entire Agreement. These Terms constitute the entire agreement between you and PURSUUT regarding the Service and supersede all prior understandings.
Severability. If any provision is held invalid, the remaining provisions remain in effect.
No Waiver. A failure to enforce any provision is not a waiver.
Force Majeure. We’re not liable for delays or failures due to events beyond our reasonable control.
Export & Sanctions. You must comply with U.S. export control and sanctions laws.
Headings. Headings are for convenience only.
Interpretation. “Including” means “including without limitation.”

27. Changes to These Terms
We may modify these Terms at any time. If a change is material, we will provide reasonable notice (e.g., by email or in-Service notice). The updated Terms are effective when posted unless otherwise stated. Your continued use of the Service after changes become effective constitutes your acceptance.
