Terms of Service

These Terms of Service ("Terms") are an agreement between you and Pursuut, Inc. ("Pursuut," "we," "us," or "our"). They govern your access to and use of our websites, mobile apps, and related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Accounts

You are responsible for the information you provide and for maintaining the confidentiality of your account credentials. You agree to notify us promptly of any unauthorized access. You are responsible for activity that occurs under your account.

The Services

Pursuut operates an online marketplace that helps individuals and organizations find and engage independent private investigators ("Investigators"). Investigators on the platform are independent third parties and are not employees or agents of Pursuut. Pursuut does not provide investigative, legal, or professional advice and does not guarantee the outcome of any engagement.

Roles

• Clients use the platform to submit cases, communicate with Investigators, and pay for services.
• Investigators use the platform to receive case opportunities, manage engagements, and receive payments. Each Investigator is solely responsible for complying with the licensing and legal requirements that apply to them.

Payments and fees

Pricing for an engagement is set between the Client and Investigator unless otherwise stated. Payments are processed by our payment provider. Pursuut may charge platform or service fees, which will be disclosed before you incur them. Refunds, where available, are subject to the terms applicable to the specific engagement.

Your content

You retain ownership of the content you submit ("User Content"). You grant Pursuut a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content as needed to operate and improve the Services. You represent that you have the rights to submit your User Content and that it does not violate any law or third-party right.

Acceptable use

You agree not to:

• Use the Services for any unlawful or fraudulent purpose.
• Harass, stalk, threaten, or harm any person, or facilitate any such conduct.
• Submit false, misleading, or infringing content, or impersonate another person.
• Attempt to gain unauthorized access to the Services or interfere with their operation.
• Use the Services to surveil any person in a manner that is prohibited by law.
• Circumvent platform safety features or payment processes.

Intellectual property

The Services, including all software, designs, text, and graphics (other than User Content), are owned by Pursuut or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

Third-party services

The Services may link to or integrate with third-party services (for example, payment processors and identity verification providers). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Pursuut disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any specific Investigator will meet your expectations.

Limitation of liability

To the maximum extent permitted by law, Pursuut and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our aggregate liability for any claim arising out of or related to the Services will not exceed the greater of (a) the amount you paid to Pursuut in the 12 months preceding the claim, or (b) $100.

Indemnification

You agree to indemnify and hold harmless Pursuut and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we believe it is necessary to protect the Services or other users. Sections that by their nature should survive termination will do so.

Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there, unless a binding arbitration agreement applies.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the product). Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.
